1 Acceptance of Terms
These Terms of Service ("Terms") govern your use of the Ellylife International website and any business dealings with Ellylife International (hereinafter referred to as "we," "us," "our," or "the Company"), a garment manufacturer and exporter registered and operating from New Miana Pura West Mohallah, Islam Pura, Sialkot-51310, Pakistan.
By accessing our website, submitting an inquiry, placing a sample or bulk order, or otherwise engaging in any business transaction with us, you ("Client," "Customer," "You") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
These Terms constitute a legally binding agreement. Please read them carefully before placing any order.
2 Our Services
Ellylife International provides the following services:
Custom manufacturing of sports wear, street wear, fitness wear, and leather garments.
Bulk and wholesale production for international and domestic buyers.
Private label and OEM (Original Equipment Manufacturer) services.
Custom embroidery, sublimation printing, screen printing, and heat transfer.
Sample development and design consultation.
Export packaging and international shipping coordination.
We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.
3 Ordering & Quotations
All orders begin with a formal quotation process. The following terms apply:
Inquiry: Clients must submit a detailed inquiry including product type, quantity, size breakdown, colors, and any customization requirements.
Quotation Validity: All price quotations are valid for 30 days from the date of issue unless otherwise stated in writing.
Minimum Order Quantity (MOQ): Our standard MOQ is 50 units per design/color. MOQ may vary by product category. Lower quantities may be available for sample orders at a premium.
Order Confirmation: An order is confirmed only upon receipt of written confirmation from both parties and payment of the agreed deposit.
Order Changes: Changes to confirmed orders must be requested in writing within 48 hours of order confirmation. Changes requested after production has commenced may incur additional charges.
Order Cancellation: Cancellations after production begins will forfeit the advance payment and may be subject to additional charges for materials procured.
4 Payment Terms

Accepted Methods: Bank Wire Transfer (T/T), PayPal, Western Union, and Letter of Credit (L/C) for qualifying orders.
Currency: All prices are quoted in US Dollars (USD) unless otherwise agreed.
Late Payments: Overdue balances may attract a late payment charge of 2% per month on the outstanding amount.
Bank Charges: All bank transfer fees and charges are the responsibility of the client.
⚠️ Production will not commence until the required advance payment is received and confirmed in our bank account. We are not responsible for delays caused by late payment.
5 Production & Delivery
Production timelines and delivery terms:
Samples: 7–14 business days after design approval and payment confirmation.
Bulk Orders: 3–5 weeks from advance payment confirmation and final design approval, depending on quantity and complexity.
Rush Orders: Available at an additional charge; timeline to be agreed in writing.
Shipping: Products are shipped EXW (Ex Works) Sialkot unless otherwise agreed. Freight, customs, duties, and insurance are the client's responsibility unless FOB or CIF terms are specifically agreed.
Shipping Partners: We work with DHL, FedEx, and freight forwarders. Preferred carrier can be specified by the client.
Delivery Delays: We will notify clients promptly of any unforeseen delays. We are not liable for delays caused by shipping carriers, customs clearance, or force majeure events.
6 Samples Policy
Sample orders are fully paid in advance and are non-refundable.
Samples are provided to allow the client to assess quality and design before bulk production.
Upon approval of the sample and placement of a bulk order, the sample cost may be credited toward the bulk order at our discretion.
Any design changes requested after sample approval will be treated as a new sample order.
We retain the right to show samples and photographs of products in our portfolio unless the client specifically requests confidentiality in writing.
7 Quality Assurance & Returns
We are committed to delivering products that meet the agreed-upon specifications. Our quality terms:
Quality Standards: All products are inspected before shipment. We maintain a maximum acceptable defect rate of 1.5% per shipment (AQL 2.5 standard).
Defective Goods: Claims for defective goods must be submitted in writing with photographic evidence within 14 days of receiving the shipment.
Valid Claims: Verified manufacturing defects will be remedied by replacement of defective units or a credit note, at our discretion.
Invalid Claims: Claims will not be accepted for variations in color due to screen display differences, minor size tolerances (±0.5 inch), or damage caused during shipping or client handling.
Returns: Goods may not be returned without prior written authorization from Ellylife International. Unauthorized returns will not be accepted.
Approved samples serve as the quality benchmark. Production is matched to the approved sample, not to any other reference.
8 Intellectual Property
Client Designs: Designs, logos, and artwork provided by the client remain the intellectual property of the client. By submitting them, the client confirms they have the legal right to use these designs and indemnifies Ellylife International against any third-party IP claims.
Our Designs: Any designs, patterns, or templates created by Ellylife International remain our intellectual property unless a written agreement transferring ownership is executed.
Website Content: All content on this website including text, images, logos, and graphics is the property of Ellylife International and may not be reproduced without written permission.
Private Label: We do not disclose client identities or branding to other clients and maintain full confidentiality on private label orders.
9 Confidentiality
Both parties agree to keep confidential all non-public information shared during the business relationship, including but not limited to: pricing information, product designs, business strategies, client lists, and production processes.
This obligation of confidentiality continues for a period of 3 years after the conclusion of any business relationship or project.
For high-value or sensitive projects, we are willing to execute a formal Non-Disclosure Agreement (NDA) upon request.
10 Limitation of Liability
To the maximum extent permitted by applicable law:
Ellylife International's total liability to any client for any claim arising from an order shall not exceed the total value of that specific order.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business opportunities.
We are not responsible for losses arising from the client's improper use, handling, or storage of products after delivery.
We are not liable for delays or non-performance caused by events beyond our reasonable control (see Force Majeure).
⚠️ Our liability is strictly limited to the replacement or refund of defective products. We cannot be held liable for consequential business losses.
11 Force Majeure
Ellylife International shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:
Natural disasters (floods, earthquakes, storms)
Pandemics, epidemics, or government-declared health emergencies
War, terrorism, civil unrest, or government actions
Strikes, labor disputes, or factory shutdowns
Power outages, equipment failure, or supply chain disruptions
Import/export restrictions or customs delays
In the event of a force majeure situation, we will notify the client as soon as possible and work to resume operations at the earliest opportunity. The parties may mutually agree to extend delivery timelines or cancel outstanding orders with a full refund of any advance paid.
12 Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.
In the event of any dispute arising from these Terms or any business transaction, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be submitted to arbitration in accordance with the Pakistan International Trade Laws, with arbitration to be held in Sialkot or Lahore, Punjab, Pakistan.
Notwithstanding the above, Ellylife International reserves the right to seek injunctive relief from any court of competent jurisdiction in cases involving IP infringement or breach of confidentiality.
13 Changes to These Terms
We reserve the right to update these Terms of Service at any time. The most recent version will always be available on this page with the date of last update. Changes become effective immediately upon posting.
For existing orders, the Terms in effect at the time of the order confirmation shall apply. New orders placed after the updated Terms are published will be subject to the new Terms.
Continued use of our services after any update constitutes your acceptance of the revised Terms.
